SectionalIQ Terms of Service

These Terms of Service ("Terms") are an agreement between SectionalIQ LLC, an Arizona limited liability company ("SectionalIQ", "we", "us"), and the business that signs up for SectionalIQ ("Company", "you"). They cover the SectionalIQ door builder, the company dashboard at app.sectionaliq.com, lead delivery, and everything else we provide with them (together, the "Service").
You accept these Terms when you sign up, sign in to the dashboard, or put the SectionalIQ builder on your website, whichever comes first. If you accept for a business, you confirm you have authority to bind it.
1. Definitions
- Customer: a homeowner or other visitor who uses the builder on your website.
- Customer Data: what Customers submit or create through the Service, including their designs, contact details, notes, photos, videos, saved designs and the leads made from them.
- Company Content: what you give us to run your Service, including your prices, price lists, price book, offers, terms, logo, business details and settings.
- Catalog Data: the manufacturer product information we maintain in the Service (models, sizes, colors, windows and options).
- Users: the people you give access to your dashboard.
- Plan: the subscription level, price and limits you choose, shown when you subscribe or in an order form we both agree to.
2. The Service
We host the builder and give you a code snippet to place on your website. Customers design doors, see the prices you set and send requests to you. We deliver each request to you by email, to your dashboard and to any connection you set up, such as a webhook.
We improve the Service over time and may add, change or remove features. If we remove a feature your Plan depends on, we will tell you at least 30 days before, unless the change is needed for security or by law.
3. Accounts and Users
You decide who has access and what role each User has. You are responsible for what your Users do in the Service. Users must be at least 18 and must work for or with your business. Keep sign-in codes and passwords private, and tell us right away at legal@sectionaliq.com if you think someone has used your account without permission.
4. Your responsibilities
4.1 Prices, offers and terms. You set every price, offer, tax setting and term shown in your builder. You are responsible for their accuracy and for complying with the laws that apply to them, including advertising, pricing and consumer protection laws. Prices the builder shows are estimates calculated from your prices and the Customer's entries. We never set or change your prices unless you ask us to.
4.2 Your work with Customers. You are the seller. Any quote, sale, installation, repair, warranty or service is between you and your Customer. SectionalIQ is not a party to it and is not responsible for it. You are responsible for your licenses, permits, insurance and the laws that apply to your business.
4.3 Your privacy notice and contacting Customers. Your website must have a privacy policy that tells Customers you use a service provider to collect and process the information they send through the builder. You may use Customer Data only to respond to and serve the Customer who sent it and for your own business records. When you call, text or email a Customer, you are responsible for complying with the laws that apply, including the Telephone Consumer Protection Act, CAN-SPAM, and federal and state do-not-call and telemarketing rules.
4.4 Customer photos and videos. If you turn on the marketing permission question, a Customer may say Yes or No to you using their photos and videos. You may use a Customer's photos or videos on your website, on social media, in advertising or for training only if that Customer answered Yes. If they answered No, or were not asked, you may use them only to quote and serve that Customer. You are solely responsible for any use of Customer photos or videos, and you are liable for any use without the Customer's permission.
4.5 Ad tracking and connections. If you add ad or analytics accounts (such as Google Ads, Google Analytics or a Meta Pixel), a webhook, Zapier or another connection, you direct us to send the related data to those services. You are responsible for your arrangements with them and for any cookie or tracking notice your website needs.
4.6 Brands and your website. Turn on only the brands you sell or can supply. You are responsible for your website, for keeping our snippet installed as we provide it and for not changing our code.
5. Catalog Data and illustrations
We build Catalog Data from manufacturers' published documents and work to keep it accurate, but manufacturers change their products, and errors can happen. Confirm specifications, availability and pricing with the manufacturer or your supplier before you sell. Door and house drawings are illustrations for design ideas. Actual colors, textures and proportions vary.
Manufacturer, product and color names belong to their owners. They are used only to identify the products you offer. SectionalIQ is independent and is not affiliated with, endorsed by or sponsored by any manufacturer. Do not suggest otherwise.
6. Fees and payment
6.1 Fees. You pay the fees for your Plan. Unless your order form says otherwise, fees are billed in advance each month or year through our payment processor and renew automatically until you cancel. Fees do not include taxes; you pay any sales, use or similar taxes on the Service.
6.2 Changes. We will give you at least 30 days' notice before a price increase takes effect. The new price applies from your next billing period after that notice.
6.3 Late payment. If a payment fails and is not fixed within 10 days after we notify you, we may suspend the Service until it is paid.
6.4 Refunds. Fees are not refunded for partial billing periods, except as section 6.6 says, where the law requires it, or where we agree in writing.
6.5 Free trials. A free trial lasts for the period we tell you (30 days unless we say otherwise), and we may limit features during it. If you give us a payment method when you start a trial, your Plan starts and that payment method is charged when the trial ends, unless you cancel before then. We will email you a reminder at least 3 days before a trial ends. If you have not given us a payment method, the trial simply ends and the builder stops working on your website until you subscribe.
6.6 Annual plans. If you pay for a year in advance, you may cancel within 14 days after the year starts or renews and we will refund that year's fee in full. After those 14 days, cancelling stops the next renewal, the Service continues through the end of the year you paid for, and fees already paid are not refunded.
6.7 Referral program. You earn one free month for each company you refer that becomes a paying SectionalIQ customer after its free trial. A referral counts only when the company signs up through your referral link or you tell us about it before it signs up, and only if it is a new customer: not already a SectionalIQ customer, not you, and not a business you own or control. On a monthly plan, each free month makes one monthly bill $0. On an annual plan, each free month comes off your next renewal at one twelfth of your annual fee, up to the full renewal. If 10 or more companies you refer sign up within the first year of your account, you earn 2 more free months. Free months are applied automatically, have no cash value, cannot be transferred or exchanged for money, and end if your account is cancelled. We may withhold or remove free months earned by misuse, such as referrals that are not genuine. We may change or end the referral program with 30 days' notice; free months already earned stay yours.
6.8 Comped and pilot accounts. If we give you the Service free of charge or at a special price, for a pilot or otherwise, that arrangement lasts for the period we tell you. If no end date was given, we may end it with 30 days' notice, after which the Service continues on a regular Plan only if you choose one.
7. Customer Data
7.1 Ownership. Between you and us, you own Customer Data and Company Content.
7.2 Our role and use. We process Customer Data on your behalf, as your service provider. We use it only to provide, secure, support and improve the Service, as you direct through your settings and connections, and as the law requires. We do not sell Customer Data. We do not use it to market to your Customers, we do not share it with other companies that use SectionalIQ and we do not use it to train artificial intelligence models.
7.3 Aggregate information. We may create aggregated, de-identified statistics from use of the Service (for example, how often a door style is picked across all companies) that do not identify you, a User or a Customer, and use them to improve the Service and describe industry trends.
7.4 Service providers. We use service providers to run the Service, such as hosting, storage and email delivery. Our current list is in our Privacy Policy. We require them to protect the data they handle for us, and we remain responsible for their work under these Terms.
7.5 Security. We use reasonable administrative, technical and physical safeguards to protect Customer Data. If we confirm unauthorized access to your Customer Data, we will notify you without undue delay, and within 72 hours where possible, with what we know and what we are doing about it.
7.6 Customer requests. If a Customer asks us to see, correct or delete their information, we will pass the request to you and help you respond. You decide how to answer, except where the law requires us to act directly.
7.7 Export and deletion. You can export your leads from the dashboard at any time. After your account ends, you have 30 days to ask us for an export. We then delete your Customer Data and Company Content within 90 days, except copies the law requires us to keep and backups that are overwritten on their normal schedule.
8. Rights in the Service
8.1 Our property. We own the Service, including the builder, its software, the drawings it produces, the compilation of Catalog Data, our designs and our documentation. During your subscription, we give you a non-exclusive, non-transferable right to use the Service for your business and to show the builder on your own websites.
8.2 Your license to us. You give us permission to host, copy, display and process Company Content as needed to run your Service, for example to show your logo and prices in your builder. We will show your name or logo as a SectionalIQ customer only with your permission.
8.3 Restrictions. You will not, and will not help others to: copy, resell or sublicense the Service; reverse engineer it, except where the law allows; copy or scrape Catalog Data or the drawings for use outside the Service; build a competing product from it; get around its limits or security; test its security without our written permission; upload malware; use it to send spam; or use it for anything unlawful.
8.4 Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
9. Help assistant
The dashboard's Help assistant uses artificial intelligence to answer questions from our help articles. Its answers can be wrong or incomplete; check anything important. Do not put Customer personal information in your questions.
10. Availability and lead delivery
We work to keep the Service available, but we do not promise it will be uninterrupted or error-free, and we may pause it for maintenance. Every lead is saved to your dashboard when it arrives. Email and webhook delivery depend on systems outside our control, such as email providers, spam filters and your own systems. We retry failed deliveries, and you should check your dashboard regularly. We are not responsible for a lead that is not received because of a system outside our control.
11. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for this agreement. This does not cover information that is public, already known to the receiving party, received lawfully from someone else, or that must be disclosed by law (with notice to the other party where allowed).
12. Term, cancellation and termination
These Terms last while you have an account. You may cancel at any time from your dashboard or by emailing us; cancellation takes effect at the end of your current billing period (for annual plans, see section 6.6), and you can use the Service until then. We may suspend or end your account if you breach these Terms and do not fix the breach within 15 days after we notify you, or immediately if your use is unlawful or threatens the security of the Service or others. When your account ends, the builder stops working on your website (visitors see a short notice instead) and your right to use the Service ends. If you come back within 30 days after your account ends, we restore your settings, prices, price book and leads; after that, they are deleted as section 7.7 describes. Sections 4, 5, 7.7, 8, 11 and 13 through 17 continue after the account ends.
13. Disclaimers
Except as stated in these Terms, the Service, the Catalog Data and the Help assistant are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.
14. Limitation of liability
To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, leads or business, even if told they were possible; and (b) each party's total liability under these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or $100 if you paid none. These limits do not apply to your payment obligations, to your obligations in section 4.4 and section 15, or to a party's fraud or willful misconduct.
15. Indemnification
You will defend and indemnify SectionalIQ against third-party claims, and the losses and reasonable costs that result, arising from: your prices, offers, terms or dealings with Customers; your use of Customer Data, including Customer photos and videos; Company Content; or your breach of these Terms or the law.
16. Changes to these Terms
We may update these Terms. For a material change, we will tell you by email or in the dashboard at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not accept them, you may cancel before they take effect.
17. Governing law and disputes
Arizona law governs these Terms, without regard to its conflict of law rules. Before starting a lawsuit, each party will try in good faith for 30 days to resolve the dispute by writing to the other. Any lawsuit must be brought in the state or federal courts located in Maricopa County, Arizona, and both parties consent to those courts. Each party may seek a court order to protect its confidential information or intellectual property at any time.
18. General
These Terms, any order form and our Privacy Policy are the entire agreement between us about the Service. If an order form conflicts with these Terms, the order form controls for that order. You may not transfer this agreement without our written consent; we may transfer it as part of a merger, acquisition or sale of our business. Neither party is responsible for delays caused by events beyond its reasonable control. We send notices to your account's admin email; you send notices to legal@sectionaliq.com. If any part of these Terms cannot be enforced, the rest remains in effect. Not enforcing a right is not a waiver of it. We are independent contractors; these Terms create no partnership, agency or employment.
